The AgroTrading Websites serve exclusively an informational and presentation role and allow: • submission of contact requests; • requesting an access invitation to the ecosystem.

The Websites do not allow commercial transactions.

Important: AgroTrading® sites do not constitute points of sale, commercial representatives, or separate legal entities in the jurisdictions where the domains are registered. Regardless of the domain extension (.ro, .de, .fr, etc.), the operator is exclusively AgroTrading Inteligent Solutions S.R.L., a Romanian company headquartered in Prahova County, Romania.

Information published on the Website does not constitute contractual offers and is exclusively informational.

Access to the AgroTrading digital platform is exclusively through the official application available at: https://app.agrotrading.eu

The platform is governed by separate Terms and Conditions, available within the application, which prevail over the information on the Website, to the extent permitted by applicable law.

IMPORTANT - B2B Contact Form: The contact form available on the Websites is intended EXCLUSIVELY for companies (B2B legal entities) and requests COMPANY data, NOT personal data: • Company (legal entity name) • Company email (corporate email address of the company) • Company phone (company phone number) • Message (optional, without personal data) The Websites do not request and do not collect, through the contact form, personal data of natural persons (for example: name and surname, personal email, personal phone, personal ID number, home address, etc.). Independent of the above, for the secure technical operation of the websites, security and prevention of abuse, AgroTrading may process technical data (for example: IP address, security logs and strictly necessary cookies), exclusively for security, stability and abuse prevention purposes, pursuant to Article 6(1)(f) of Regulation (EU) 2016/679 (GDPR). Clarification: The requested data (company, corporate email, company phone) identifies the LEGAL ENTITY (the company), not individuals. The form is intended for B2B communication between companies.

Users agree to: • provide real, accurate, and complete information; • use the Website exclusively for legal purposes; • not take actions that may affect the security, operation, or reputation of AgroTrading.

Using the Website for fraudulent, abusive, or unlawful purposes is prohibited.

4.1. Trademark The AgroTrading® trademark is protected at both national and European levels. Any unauthorized use of the trademark is strictly prohibited.

4.2. Copyright The content of the Websites (texts, graphics, logos, visual elements, databases) is the property of AgroTrading and is protected by Law no. 8/1996 and EU legislation. Reproduction, distribution, or use of the content without prior written consent is prohibited.

The Websites use technical measures and external security services for protection against unauthorized access, fraud, and abuse.

Technical data collected automatically (e.g., IP address, security information) is used exclusively for security purposes and abuse prevention.

AgroTrading is not liable for: • information entered incorrectly by users; • technical errors beyond its control; • content of third-party websites accessed through external links.

Information on the Website is for guidance purposes only and does not constitute contractual offers.

Violation of these Terms and Conditions allows AgroTrading to: • suspend or restrict access to the Website; • take legal action to protect its rights and recover any damages.

The processing of personal data is governed by the Privacy Policy, a separate document that is an integral part of these Terms.

AgroTrading Websites use EXCLUSIVELY strictly necessary cookies for technical operation, security, and protection against abuse, in accordance with the Cookie Policy. AgroTrading does NOT use analytics, marketing, advertising, remarketing, or other behavioral tracking technologies on the presentation Websites.

AgroTrading makes reasonable efforts to ensure the accessibility of the Websites for people with disabilities, in accordance with European best practices.

The Websites include an accessibility module that allows adjustment of content display (e.g., font size, contrast, assisted navigation).

Using accessibility features does not involve processing additional personal data.

Access to the AgroTrading digital platform is exclusively by valid invitation, issued by a registered user or by the platform administrator.

10.1. Purpose of the Invitation System The invitation system aims to: • Protect the integrity of the B2B ecosystem by validating the identity and eligibility of applicants; • Administratively verify the validity of companies and their relevance to the AgroTrading ecosystem; • Ensure a safe, relevant, and quality experience for all platform users.

10.2. Evaluation Criteria Invitations are evaluated based on objective criteria related to: • Legal validity of the applying company (registration verification, tax ID, legal documentation); • Relevance of commercial activity to the AgroTrading B2B ecosystem; • Compliance with platform terms and conditions; • Absence of suspicion of fraud, illegal activity, or previous violations of terms. The verification process is administrative and does not involve evaluating the quality of products or services offered by the applying company.

10.3. Non-Discrimination Principle The invitation process is applied uniformly to all requests, without discrimination based on race, ethnicity, religion, gender, sexual orientation, age, nationality, ethnic origin, disability, or any other criterion protected by applicable anti-discrimination legislation. Applicable legislation: Directive 2000/43/EC on equal treatment, Law no. 324/2006 on combating discrimination. AgroTrading reserves the right to refuse access in the following situations: • Companies or persons from jurisdictions subject to international sanctions or legal restrictions applicable in the European Union or Romania; • Well-founded suspicions of fraud, illegal activity, or previous violations of platform terms; • Incompatibility with the B2B nature of the platform (e.g., individuals without documented commercial activity); • Impossibility of verifying the identity or legal validity of the applying company; • Repeated requests after previous refusals without new justification. These refusal criteria are applied objectively and do not constitute discrimination within the meaning of applicable legislation.

10.4. Legal Nature of the Invitation Important: Issuing an invitation does NOT constitute a contractual offer and does NOT guarantee automatic access to the platform. Each access request is evaluated individually, and AgroTrading reserves the right to approve or refuse access based on the objective criteria mentioned above, without obligation to provide detailed reasoning for the decision. The invitation represents exclusively an opportunity to request access, not an automatic right of access to the platform.

10.5. Technical Conditions and Usage Invitation codes are: • Personal and non-transferable - assigned to a single applicant; • Limited in number for each issuing user; • Valid for a limited period of time, after which they expire automatically; • Prohibited from being publicly distributed, commercialized, or used for marketing purposes without written consent from the platform administrator. Abusive use of invitation codes (e.g., public distribution, sale, fraudulent automatic generation) may lead to immediate suspension or closure of the issuing user's account, without notice.

AgroTrading does not intermediate payments, does not offer escrow services, and does not charge commissions on transactions between platform users.

Commercial relationships take place directly between validated platform users, based on their own contractual agreements.

Important: AgroTrading is not a party to commercial transactions conducted between users and has no legal responsibility for product delivery, service quality, fulfillment of contractual obligations, or any commercial disputes.

AgroTrading makes reasonable efforts to keep published information accurate and up to date, without however guaranteeing its completeness at all times.

Users are encouraged to verify essential information before making commercial decisions.

AgroTrading is not liable for any damages resulting from the use of information published on the Website, in the absence of intent or gross negligence.

AgroTrading reserves the right to modify this document at any time to reflect changes in services, practices, or legal requirements.

The updated version will be published on the Website, indicating the date of the last modification.

Continued use of the Website after publication of modifications constitutes tacit acceptance of the new Terms and Conditions.

In case of significant modifications affecting fundamental user rights, AgroTrading will make reasonable efforts to inform users through a banner or notification displayed on the Website.

Dispute Resolution: Any dispute arising from the use of the Websites or from the interpretation of this document shall be submitted for resolution, in the first instance, to mediation or amicable negotiation procedures between the parties.

If amicable resolution is not possible within 30 calendar days from notification of the dispute, it shall be resolved by the competent courts at the AgroTrading headquarters in Prahova County, Romania.
